1. Who you are contracting with

These Terms & Conditions ("Terms") form a binding agreement between you and Growberly ("Growberly", "we", "us") regarding your use of the RFP Analyzer service (the "Service").

2. Acceptance

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

3. The Service

Growberly provides an AI-assisted tool to analyze Requests for Proposal and similar documents and extract relevant information such as deadlines and amounts. Use of the Service consumes credits according to the plan you have subscribed to.

4. Acceptable use

You must not:

  • Use the Service unlawfully or to commit fraud, spam, or harassment.
  • Infringe the intellectual property rights of others.
  • Interfere with the security or integrity of the Service (malware, probing, scraping, bypassing rate limits).
  • Reverse engineer, resell, or redistribute the Service.
  • Upload content you do not have the right to process.

5. Accounts

You must provide accurate registration information, keep it up to date, and keep your credentials confidential. You are responsible for all activity under your account.

6. Intellectual property

Growberly retains all rights, title and interest in and to the Service, including software, models, documentation and branding. You retain ownership of content you upload, and grant Growberly a limited licence to host and process it solely to operate and improve the Service.

7. AI outputs and accuracy

The Service uses generative AI models. Outputs may be inaccurate, incomplete, or unsuitable for any particular purpose. You are responsible for your prompts, for verifying outputs, and for any decisions made based on them. The Service is not a substitute for professional legal, financial, or procurement advice. You must have the rights to any content you upload, and we may remove content or restrict accounts that infringe third-party rights.

8. Payment, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled. When you cancel or downgrade, you keep access (and any included credits) until the end of the current billing period. See our Refund Policy for refund details.

9. Service level

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Liability

To the maximum extent permitted by law, Growberly's aggregate liability arising out of or relating to these Terms is limited to the fees you paid to Paddle for the Service in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be excluded by law (such as for fraud, death or personal injury caused by negligence).

11. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we may delete your content after a reasonable period.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified through the Service. Continued use after changes means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Growberly is established, without regard to its conflict-of-laws rules.
